1. Acceptance of Terms
By accessing or using Dean.ae (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use this Site.
2. Description of Service
Dean.ae provides AI-powered tools and resources, some of which may involve users uploading files for processing (the "Service"). You understand and agree that the Service is provided "AS-IS" and that Dean assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications, uploaded files, or personalization settings.
3. User Conduct and Uploaded Content
You are solely responsible for all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials ("Content") that you upload, post, publish or display (hereinafter, "upload") or email or otherwise use via the Service.
You agree not to use the Service to upload Content that:
- is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
- you do not have a right to upload under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
- infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
- contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
Dean reserves the right, but has no obligation, to review and remove any Content that violates these Terms or is otherwise objectionable, at its sole discretion.
4. Intellectual Property Rights for Uploaded Content
You retain all ownership rights to the Content you upload to the Service. However, by uploading Content, you grant Dean a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content solely in connection with providing and improving the Service. This license is limited to the purpose of operating, providing, and improving the Service, and for Dean to develop new features and services. This license terminates when you delete your Content from the Service, or when your account (if applicable) is terminated, except to the extent necessary for Dean to comply with legal obligations, resolve disputes, or enforce our agreements, or for backup and archival purposes where Content may persist in backups for a reasonable period.
5. Intellectual Property Rights of the Site
All content on this Site, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of Dean or its content suppliers and protected by international copyright laws. The compilation of all content on this site is the exclusive property of Dean and protected by international copyright laws.
6. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Dean MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE. YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICE AND ANY RELIANCE UPON ANY DATA OR RESULTS OBTAINED THROUGH THE SERVICE IS AT YOUR SOLE RISK.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Dean, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT (INCLUDING UPLOADED FILES) OBTAINED FROM OR PROCESSED BY THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
8. Indemnification
You agree to defend, indemnify and hold harmless Dean and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, including any data or Content transmitted or received by you; b) a breach of these Terms, or c) Content you upload to the Service.
9. Changes to Terms
Dean reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.
